1. Acceptance of these terms

These Terms & Conditions ("Terms") form a binding agreement between you and Flame Studio, an independent studio operated by Mohammad Faisal Arfat Mohammad Sajid ("we", "us", "our"), located in Maharashtra, India. By downloading, accessing, or using any Flame Studio product — including our mobile apps and web apps (each, a "Product") — or this website, you agree to these Terms. If you do not agree, do not use our Products or website.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use our Products. If you are under the age of majority where you live, you may use our Products only with the involvement of a parent or legal guardian who agrees to these Terms.

3. License to use

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use our Products for your own personal, non-commercial use (and, for our mobile apps, in accordance with the Apple App Store Terms of Service). You may not copy, modify, reverse-engineer, resell, or distribute any part of an App except as expressly permitted.

4. Product-specific terms

The following terms apply to specific Products in addition to the general terms above. We will add notices here as we publish more.

PanelixAI Comics

The service: Panelix uses AI to generate comics, manga, manhwa, manhua, and seinen-style pages from the prompts, characters, settings, and images you provide.

Ownership of output: as between you and Flame Studio, you own the comics you create with Panelix and may use them for personal purposes, provided you comply with these Terms and the rights of any third parties. Because AI may produce similar results for different users, we cannot guarantee that generated content is unique.

Your inputs: you confirm you have the rights to any photos or material you upload to Panelix, and that they do not infringe others' rights or depict real individuals without their consent.

Panelix Pro subscription

Panelix offers an optional auto-renewing subscription, "Panelix Pro", in two billing periods (introductory prices in US Dollars; local prices may vary):

• Panelix Pro Annual — US$59.99 per year
• Panelix Pro Weekly — US$6.99 per week

General subscription terms — billing, auto-renewal, cancellation, and refunds — are described in section 7 above. The subscription is required for unlimited use of certain features and to purchase additional credit packs.

Credits in Panelix

Active Panelix Pro subscribers can purchase consumable credit packs that are added to their account balance immediately (introductory prices in US Dollars; local prices may vary):

• 200 Credits Pack — US$5.99
• 500 Credits Pack — US$12.99
• 1000 Credits Pack — US$23.99

Credits are spent within Panelix as follows:

• Comic generation — 20 credits per standard page, 40 credits per enhanced page (up to 5 panels per page).
• Panel regeneration — 5 credits per panel for comics originally created in Standard mode; 8 credits per panel for comics created in Enhanced mode when re-rendering at the same quality; 15 credits per panel for comics created in Enhanced mode when upgrading to the premium tier.
• Library characters — 15 credits to create a stylized character; 7 credits to regenerate at the standard quality tier, or 12 credits to regenerate at the enhanced (higher detail) tier.

The exact cost of each action is shown in the app before you confirm. Credits expire if your Panelix account is deleted. See section 7 for the general purchase, refund, and consumable terms that apply.

5. Your content & acceptable use

You are solely responsible for the content you submit and the content you generate. You agree not to use our Products to create, upload, or share content that:

• is unlawful, hateful, harassing, defamatory, or infringes another person's rights;
• is sexually explicit, depicts minors inappropriately, or promotes violence or self-harm;
• impersonates real people without consent, or is designed to deceive or defraud;
• infringes any intellectual-property, privacy, or publicity right; or
• attempts to disrupt, reverse-engineer, or abuse the service or its underlying AI systems.

We may remove content or suspend access for violations, and we may report unlawful activity to authorities.

6. Intellectual property

The Apps, website, our names, logos, and all related software, design, and branding (including "Flame Studio" and "Panelix") are owned by us and protected by intellectual-property laws. Except for the limited license granted above, nothing in these Terms transfers any of our rights to you.

7. Purchases, credits & subscriptions

Some Flame Studio Products offer paid features in the form of auto-renewing subscriptions, consumable in-app purchases (such as credit packs), or both. All purchases are processed by Apple through the App Store and are governed by Apple's Standard EULA for iOS apps in addition to these Terms.

How subscriptions work

• Billing. Payment is charged to your Apple ID at confirmation of purchase. The exact plan names, durations and prices for each Product are listed in that Product's notice below and shown to you in the in-app purchase sheet before you confirm. Local prices may vary by region.
• Auto-renewal. Subscriptions automatically renew at the same price for the same period unless you turn off auto-renew at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours of the end of the current period.
• Managing & cancelling. You can manage or cancel a subscription in your Apple ID settings: Settings → [your name] → Subscriptions. Cancelling stops future renewals but does not refund the current period.
• Free trials. Where a Product offers a free trial, any unused portion is forfeited when you purchase a subscription, where applicable.

How consumable purchases & credits work

• Consumable purchases (such as credit packs) are tied to your account within a single Product and are spent on in-Product actions. The credit cost of each action is shown in the Product before you confirm.
• Credits have no cash value, are non-transferable between accounts or Products, cannot be redeemed for cash, and expire if your account in the relevant Product is deleted. They are non-refundable except where required by law.

Refunds

Refunds for App Store purchases — subscriptions and consumable purchases — are handled by Apple under its policies. Request a refund at reportaproblem.apple.com or through your purchase history in the App Store app. We are unable to issue refunds directly for App Store purchases.

The specific subscription plans, prices, and credit costs for each Product are listed in the Product-specific terms above.

8. Disclaimers

Our Products and website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. AI-generated content may be inaccurate, unexpected, or unsuitable for a particular purpose, and you use it at your own discretion. We do not warrant that the Apps will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, Flame Studio and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of (or inability to use) our Apps or website. Where liability cannot be excluded, our total liability is limited to the amount you paid us, if any, in the twelve months before the claim arose.

10. Termination

You may stop using our Products at any time by deleting them. We may suspend or terminate your access if you breach these Terms or use the Products in a way that could cause harm or legal liability. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will continue to apply.

11. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts located in Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of our Apps, and you consent to that jurisdiction and venue.

12. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above. Your continued use of our Products or website after the changes take effect constitutes acceptance of the revised Terms.
